Terms & Conditions
§ 1 Scope
These Terms and Conditions apply to all contracts between Oyodi UG (haftungsbeschränkt), Marheinekeplatz 15, 10961 Berlin, Germany (hereinafter "Provider") and the user (hereinafter "Customer") regarding the use of the oyodi.com platform for creating personalized songs.
§ 2 Contract Formation
The contract is formed by clicking the "Place Order" button and successful payment via Stripe. The subject of the paid contract is the immediate provision and unlocking of the full version of the personalized song as digital content. The Provider confirms the contract by email.
§ 3 Service Description
The Provider offers the following services:
- Creation of a personalized song using AI-powered lyrics and music generation
- Choice from the music styles and their style modifiers available in the song wizard at the time of use
- Creation in 5 song languages (German, English, Simplified Chinese, Spanish, Turkish)
- Humor control (0–100%)
- Ability to edit individual sections (verse, chorus, bridge, etc.) manually and to have the complete lyrics regenerated with AI
- Delivery as MP3 download and in the personal Song Library, in each case within the availability and online availability described below; downloaded files as well as the lyrics and the lyrics PDF are unaffected by this
- Optional: Creation of a digital Greeting Card for sharing via link
- Music generation attempts and lyrics changes apply to the customer's account as a whole rather than to an individual order: a new account has 3 music generation attempts in total and 10 changes or regenerations of the lyrics. Creating a new song, and regenerating the music after a change to the style or the lyrics, each consume one music generation attempt; the songs produced appear in the Song Library and can be purchased individually within the period stated below
- Optional: quota top-up for €5.00 — it grants the account 5 additional music generation attempts on top of the existing quota, is not tied to any particular song or order, resets nothing, and can be purchased more than once; it does not increase the number of lyrics changes
- Purchasing a song gives the account 5 music generation attempts and 10 lyrics changes again; additional attempts already paid for and not yet used do not expire but are added on top. Unused free attempts are not carried over
- Free preview of up to 120 seconds before purchase; songs that are not purchased remain available for 45 days after completion and can be bought during that period
- Automatic refill: while this function is switched on, an account whose music generation attempts are used up receives free music generation attempts again after a waiting period, without any further purchase. The provider sets the length of the waiting period and the number of attempts and may change them. If they are changed while the function stays switched on, a waiting period already running keeps the date and the number that were shown to the customer. If the function is switched off, no attempts are credited and no date is shown any more; if it is switched back on later, a waiting period that fell due in the meantime starts a full new period with the number that applies then. The next date and number are shown in the app. It does not increase the number of lyrics changes, and unused free attempts do not accumulate
- Online availability of purchased songs: where a song is sold with a limited online availability, the applicable period is shown during the ordering process before the order is placed and is repeated in the order confirmation; it starts when the song is unlocked. After that period the provision of the audio files via the platform ends, and the audio files are deleted after an internal transition period. For each individual contract, the period shown and confirmed at the time of ordering applies; a later change to the provider's default setting takes effect for future orders only and does not shorten a contract already concluded. Contracts concluded before the introduction of the limit are unaffected. The customer may keep downloaded files permanently and independently of the platform; the lyrics and the lyrics PDF are unaffected by the limit
§ 4 Pricing and Payment
The price per song is €9.99 including 19% VAT. This is a one-time payment — there is no subscription. A quota top-up costs €5.00 including 19% VAT; it grants the account 5 additional music generation attempts, is added to the existing quota, and is not a separate song purchase. Payment is processed via Stripe (credit card, PayPal, Apple Pay, Google Pay, Klarna, etc.). The order price is the stated price in euros. If Stripe offers another currency during payment, the customer can choose whether to pay in euros or in that currency; Stripe shows the converted amount and the exchange rate there before payment. Discount codes can be redeemed at checkout; they do not apply to quota top-ups.
§ 5 Usage Rights
The Customer receives a simple, non-transferable right to use the created song for private, non-commercial purposes. Playing at private events (e.g., birthday parties) and sharing on private social media profiles is permitted. Commercial use (advertising, monetization) is not permitted. Greeting Cards can be shared publicly via a link. The Customer can delete Greeting Cards at any time. Public Card links contain the song and lyrics.
§ 6 Liability
The Provider is liable without limitation for intentional and grossly negligent conduct. For slight negligence, the Provider is only liable for breach of essential contractual obligations (cardinal duties), limited to foreseeable, typically occurring damage. Liability for data loss is limited to the typical recovery effort. Liability for injury to life, body or health and liability under the Product Liability Act remain unaffected.
§ 7 Right of Withdrawal
The separate cancellation policy applies. See: Cancellation Policy
§ 8 Availability and AI Disclaimer
Songs are generated using artificial intelligence. Each result is unique. The Provider owes the performance of the agreed generation attempts, not a particular artistic result; an attempt counts as rendered even if the result does not meet the Customer's expectations. The Provider strives for high availability but does not guarantee it. Scheduled maintenance will be announced in advance where possible. The Customer's statutory rights, in particular the remedies for defects in digital products (§§ 327 et seq. BGB), remain unaffected.
§ 9 Data Protection
For information on the processing of personal data, please refer to our Privacy Policy.
§ 10 Final Provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the Customer is a consumer, the mandatory consumer protection regulations of their country of habitual residence additionally apply. The place of jurisdiction for merchants is the Provider's registered office. Should individual provisions be invalid, the validity of the remaining provisions shall not be affected.
